Eligible Customers may receive one (1) Free Trial lasting fifteen (15) consecutive calendar days. The Company reserves the right to determine eligibility for a Free Trial and to deny, limit, or revoke a Free Trial where it reasonably believes the offer is being abused.
No payment method is required to begin the Free Trial, and Customer will not be automatically charged when the Free Trial expires. Upon expiration of the Free Trial, Customer’s access to some or all of the Services may be suspended or restricted unless Customer purchases a paid Subscription and provides a valid payment method.

Customer authorizes the Company and its Authorized Payment Processor to charge the applicable Subscription Fees upon each renewal without additional notice, except as required by applicable law.
4.4 Payment Authorization
Customer authorizes the Company and/or its Authorized Payment Processor to charge all Subscription Fees, applicable taxes, and other authorized charges to Customer’s designated payment method. Customer represents that it is authorized to use the designated payment method.
4.5 Payment Processor
Payments may be processed through one or more independent third-party payment processors selected by the Company (each, an “Authorized Payment Processor”). The Company may change its Authorized Payment Processor from time to time without requiring an amendment to this Agreement.
Customer’s payment relationship with such processor shall be governed by the processor’s applicable terms and privacy policies. The Company does not store complete payment card information unless expressly stated.
Customer acknowledges that the Authorized Payment Processor may act as merchant of record and, in that capacity, may be the contracting party of record for billing, invoicing, sales tax collection and remittance, payment method disputes, and chargebacks, notwithstanding that the Company is the contracting party for the Services under this Agreement. Customer may cancel a Subscription at any time through the Account management portal or by following the cancellation procedures designated by the Company. Cancellation will take effect at the end of the then-current Subscription Term and will prevent the Subscription from automatically renewing for an additional term. Cancellation does not entitle Customer to a refund of amounts previously paid. Customer may continue to access the Services through the end of the then-current paid Subscription Term, unless the Agreement is terminated earlier pursuant to its terms.
4.9 No Refund Policy
The fifteen (15)-day Free Trial provides Customer with an opportunity to evaluate the Services before purchasing a paid Subscription. No payment method is required to begin the Free Trial, and Customer will not be automatically charged when the Free Trial expires.
Upon expiration of the Free Trial, Customer’s access to some or all of the Services may be suspended or restricted unless Customer selects a paid Subscription and provides a valid payment method.

The parties shall use good faith efforts to resolve the dispute through informal negotiations for a period of thirty (30) days following receipt of such notice. Nothing in this Section shall prevent either party from seeking temporary or preliminary injunctive relief where necessary to prevent imminent and irreparable harm.
15.2 Agreement to Arbitrate
Except as expressly provided in this Agreement, any dispute, controversy, or claim arising out of or relating to:
(a) this Agreement;
(b) the Services;
(c) the relationship between the parties; or

shall be resolved exclusively through final and binding arbitration. The parties knowingly and voluntarily waive any right to have such disputes decided by a judge or jury, except as expressly provided herein.
15.3 Arbitration Rules
The arbitration shall be administered under the Commercial Arbitration Rules of the American Arbitration Association (“AAA Rules”) then in effect, except as modified by this Agreement. To the extent this Agreement conflicts with the AAA Rules, this Agreement shall control to the maximum extent permitted by applicable law.

15.6 Arbitrator
The arbitration shall be conducted before one (1) neutral arbitrator with substantial experience in commercial technology or software disputes. The arbitrator shall have authority to award all remedies available under applicable law except where limited by this Agreement.

15.8 Confidentiality of Proceedings
Unless disclosure is required by law, all arbitration proceedings, filings, testimony, evidence, awards, and settlement discussions shall remain confidential.
15.9 Costs
Each party shall bear its own attorneys’ fees and costs except as otherwise awarded by the arbitrator or required by applicable law. The arbitrator may allocate arbitration costs in the final award.
15.10 Injunctive Relief
Nothing in this Agreement prevents either party from seeking temporary restraining orders, preliminary injunctions, or other equitable relief from a court of competent jurisdiction to protect Confidential Information, Intellectual Property Rights, or other rights for which immediate judicial intervention is appropriate. Seeking such relief shall not waive the obligation to arbitrate the underlying dispute.
ARTICLE 16

Neither party shall participate as a plaintiff, claimant, class representative, class member, private attorney general, or representative in any class action, collective action, consolidated action, coordinated proceeding, or representative action arising out of or relating to this Agreement.
16.2 No Consolidation
Unless all parties expressly agree in writing, no arbitration shall be consolidated with another arbitration involving any other Customer.
